These Terms of Service (the "Terms") constitute a legally binding agreement between you ("you" or "User") and Prixe ("Prixe," "we," "us," or "our"), governing your access to and use of the Prixe website, mobile application, and related services (collectively, the "Service"). PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS AND BY OUR PRIVACY POLICY. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SERVICE.

1.Definitions
For purposes of these Terms, the following capitalized terms have the meanings set forth below:
"Content" means all information, text, images, prices, deal listings, and other materials made available through the Service.
"Retailer" means any third-party merchant, store, or brand whose products, prices, or links are surfaced through the Service.
"Affiliate Network" means any third-party platform through which Prixe participates in affiliate or referral programs.
"User Content" means any information you submit to the Service, including saved items, preferences, and account details.
2.Acceptance & Eligibility
2.1By accessing or using the Service, you represent that you have read, understood, and agree to be bound by these Terms.
2.2You must be at least 18 years of age, or the age of majority in your jurisdiction, to create an account. The Service is not directed to children under 13.
2.3If you use the Service on behalf of an entity, you represent that you are authorized to bind that entity to these Terms.
3.Description of the Service
3.1Prixe is an informational shopping companion that surfaces deals, prices, and price-drop information from Retailers and provides tools to save items, track prices, and estimate purchase timing.
3.2Prixe does not sell, supply, or fulfill any products. All purchases are transacted directly between you and the applicable Retailer and are subject to that Retailer's own terms, pricing, policies, and availability.
4.Affiliate Relationships & Disclosure
4.1The Service is provided free of charge to Users. Prixe earns revenue through affiliate commissions paid by Retailers and Affiliate Networks.
4.2When you click a link within the Service and complete a qualifying purchase, Prixe may receive a commission at no additional cost to you. Such arrangements do not affect the price you pay.
4.3To enable commission attribution, Affiliate Networks may set cookies or append tracking parameters to outbound links, as further described in our Privacy Policy.
5.No Advice; Accuracy of Information
5.1Prices, discounts, availability, and product details are determined by Retailers and may change at any time without notice.
5.2Any "buy now," "wait," savings figure, or similar indication provided by the Service is informational only, does not constitute financial, investment, or purchasing advice, and should not be relied upon as such. You are solely responsible for verifying all prices and details directly with the Retailer before purchasing.
6.Accounts & Registration
6.1Certain features require an account. You agree to provide accurate, current information and to keep it updated.
6.2You are responsible for safeguarding your credentials and for all activity under your account. You agree to notify us promptly of any unauthorized use.
6.3We may suspend or terminate accounts that violate these Terms, as described in Section 14.
7.Acceptable Use
You agree that you will not, and will not permit others to:
- access, scrape, harvest, or copy Content or data from the Service by automated means without our prior written consent;
- interfere with, disrupt, or attempt to gain unauthorized access to the Service or its systems;
- reverse engineer, decompile, or attempt to derive the source code of the Service;
- use the Service for any unlawful, fraudulent, or infringing purpose; or
- misrepresent your identity or affiliation.
8.Intellectual Property
8.1The Service, including the Prixe name, logo, design, and Content created by us, is owned by Prixe or its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes.
8.2All Retailer and brand names, logos, images, and trademarks are the property of their respective owners. Prixe is not affiliated with, sponsored by, or endorsed by any Retailer or brand unless expressly stated.
9.Third-Party Retailers & Links
9.1The Service contains links to third-party websites and Retailers that we do not own or control.
9.2We are not responsible for the content, products, prices, policies, or practices of any third party. Any transaction you enter into with a Retailer is solely between you and that Retailer.
10.Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described there.
11.Disclaimer of Warranties
11.1THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
11.2PRIXE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT ANY PRICE OR DEAL INFORMATION IS ACCURATE OR CURRENT, OR THAT USE OF THE SERVICE WILL RESULT IN ANY SAVINGS.
12.Limitation of Liability
12.1TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL PRIXE OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE OR ANY PURCHASE MADE FROM A RETAILER.
12.2PRIXE'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).
12.3SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
13.Indemnification
You agree to indemnify, defend, and hold harmless Prixe and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service or your breach of these Terms.
14.Term & Termination
14.1These Terms remain in effect while you use the Service.
14.2We may suspend or terminate your access at any time, with or without notice, for any reason, including breach of these Terms.
14.3Provisions that by their nature should survive termination — including Sections 8, 11, 12, 13, 15, and 16 — shall survive.
15.Dispute Resolution & Governing Law
15.1Informal Resolution First. If you have a concern or dispute, you agree to contact us first at hello@prixe.app so we can try to resolve it informally. Most issues can be settled this way.
15.2Governing Law. These Terms are governed by the applicable laws of the United States and the state in which Prixe is operated, without regard to conflict-of-laws rules.
15.3Where Claims Are Brought. Any dispute that cannot be resolved informally will be handled in the courts located in the jurisdiction where Prixe is operated, and you consent to that venue.
16.General Provisions
16.1Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement between you and Prixe regarding the Service and supersede all prior agreements.
16.2Severability. If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
16.3Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
16.4Assignment. You may not assign these Terms without our consent. We may assign them freely, including in connection with a merger or sale of assets.
16.5Force Majeure. Prixe is not liable for any failure or delay resulting from causes beyond its reasonable control.
16.6Notices. We may provide notices to you via the Service or the email associated with your account. Notices to us must be sent to hello@prixe.app.
16.7Headings. Section headings are for convenience only and do not affect interpretation.
